The agreement between us.

1. Who we are, who you are

These Terms govern your access to and use of Medulla AI, operated by MEDULLA AI (OPC) PRIVATE LIMITED (\"we\", \"us\"). By signing up or using the product, you agree to these Terms.

2. Acceptable use

You agree not to:

• Use Medulla AI to violate any law or third-party right.
• Reverse-engineer, scrape at scale, or attempt to derive source code.
• Upload malware, illegal content, or content you do not have rights to.
• Use the product to send unsolicited bulk email or spam.
• Interfere with the integrity or performance of the service.

3. Your content

You retain ownership of all data you provide to or generate through Medulla AI. You grant us a limited, non-exclusive license to process that content solely for the purpose of operating the product on your behalf.

4. Compliance is your obligation

Medulla AI helps you stay on top of compliance, but final accountability for filings, payments, and corporate actions stays with you and your CA/CS/legal counsel. We are a tracking and drafting tool, not a substitute for professional advice.

5. Fees and billing

During private beta, the product is provided free. After public launch, fees are billed monthly or annually per the pricing displayed on the Pricing page at the time of your subscription. GST extra for India customers. Failure to pay may result in suspension or termination.

6. Termination

You may cancel any time. We may terminate for material breach of these Terms with 7 days' notice (or immediately for acceptable-use violations). Upon termination, you receive a 30-day grace period to export your data.

7. Disclaimer of warranties

The service is provided \"as is\" without warranties of any kind. We do not warrant that the service will be uninterrupted, error-free, or that compliance suggestions will be exhaustive or correct in every edge case. You are responsible for reviewing every filing before submission.

8. Limitation of liability

To the maximum extent permitted by law, our aggregate liability under these Terms is limited to the fees you paid in the 12 months preceding the claim. We are not liable for indirect, incidental, consequential, or punitive damages.

9. Governing law and venue

These Terms are governed by the laws of India. Disputes are subject to the exclusive jurisdiction of the courts of Pune, Maharashtra.

10. Changes

We may update these Terms occasionally. Material changes will be communicated by email at least 30 days in advance. Continued use after the effective date constitutes acceptance.
